ROLE DESCRIPTION
In the position as Legal Manager – M&A / Private Equity Investments in Institutional Investment Partners Denmark (“IIP”)’s Legal Team, you will work closely with other key stakeholders in the investment process, including Tax and the broader Investment Team. You will provide valuable legal investment advice related to investments as well as manage and engage with external advisors and partners. Further, you will be responsible for other ad-hoc tasks related to the daily business.
There will be opportunities for travelling in connection with the role, particularly in relation to due diligence processes and commitment decisions involving international fund managers.
You will be working from IIP’s office in central Copenhagen, located at Købmagergade 22, 1150 Copenhagen K.
LEGAL TEAM
The Legal team at IIP operates as an integral part of the investment team and is closely involved in the overall investment process. The team provides legal support throughout the life cycle of investments and offers day-to-day advice across the organization.
The team consists of four team members, including a tax specialist, a student assistant and the General Counsel, Linda á Dunga Brøndum, to whom you will report.
AREAS OF RESPONSIBILITY
IIP is looking for a talented lawyer who takes ownership, works independently, and is confident in making decisions. You have a structured and solution-oriented mindset and are motivated by providing pragmatic legal support in a dynamic investment environment.
Some of your main responsibilities will include:
- Providing legal advice and support to the investment team and other internal stakeholders throughout the investment process from due diligence to post-closing of an investment.
- Participating in investment and decision meetings with the investment team.
- Drafting, reviewing and negotiating transaction documentation, including LPAs, SPAs, SHAs and ancillary documents, e.g. NDAs, subscription documents, etc.
- Managing post-closing matters, such as monitoring and securing conformity of agreements in close corporation with the investment team.
- Advising on and managing corporate law matters related to transactions as well as ongoing corporate structuring and housekeeping.
- Providing general legal support and handling daily ad hoc tasks, such as advising on ESG matters, KYC, and GDPR.

Reporting to: General Counsel, Linda á Dunga Brøndum.
Title: Legal Manager.
IDEAL EXPERIENCE
Education: You hold a Danish Master of Laws degree (cand.jur.) or a Master of Business Administration and Commercial Law degree (cand.merc.jur.) and have 2–5 years of experience as an attorney (i.e. 5-7 years of experience post grad.), gained either at a law firm and / or in-house.
Work experience: You have strong legal experience in M&A and / or private equity, covering the full transaction process, including due diligence, negotiation, signing, and closing.
Further, the right candidate has a firm understanding of corporate law, contract law and governance. Experience in a private equity environment is considered an advantage, but not a requirement.
Drafting and negotiation: You have extensive experience with drafting and negotiating various legal contracts and documents, especially M&A and corporate law related documents.
International experience: You have experience in international investment activities and possess excellent written and verbal English skills, including extensive experience with legal English, particularly in drafting and negotiation.
